Terms of sale
Version of 22 October 2026. For business customers only.
This English version is provided for convenience. In case of discrepancy, the French version prevails. Read the French version.
For businesses established in France or Belgium.
1. Parties and scope
These terms govern the BoostImpact service (the “Service”) provided by Girlden LTD, a private limited company under English law, registered in England and Wales under number 14837617, registered office: 71-75 Shelton Street, Covent Garden, London WC2H 9JQ, United Kingdom (the “Supplier”), which operates the trading name BoostImpact.
The Service is sold exclusively to businesses that purchase it for the needs of their trade (the “Client”). By accepting these terms, the Client declares that it is acting for business purposes. The Service is not offered to consumers.
2. Contract documents
The contract consists, in decreasing order of priority, of: the personal data processing agreement, these terms, and the Client's order (chosen plan and billing frequency, billing details), supplemented by the choices it then makes in writing (chosen accounts, delegation mode in Premium, authorisation to reuse its photos) and by the business information it gives in its client area. The Client accepts them by ticking the box accepting the terms of sale on the online payment page (Stripe) before confirming its order, whether it orders from the website or from a payment link provided by the Supplier; these terms incorporate the data processing agreement. The contract is concluded when the Client confirms its order on that page. The date of acceptance is kept with the order by the payment provider; the accepted version is the one in force on that date, published on the website.
3. The plans and their caps
Three plans are offered: Essential, Standard and Premium. The content of each is the one shown on the Service's presentation page:

Original content. The cap is counted in pieces of original content per month, never per week. A piece of original content is one subject: it is published on each of the chosen accounts and repeated on the Client's Google Business Profile. For example, 8 pieces of content = 8 subjects, each published on each chosen account. In Premium, the 16 pieces of content include 4 short videos. A video or a story never appears on the Google Business Profile. In Essential, the 2 pieces of content are posts (updates) on the Google Business Profile.
Chosen accounts. In Standard and Premium, the social accounts are chosen by the Client at set-up, according to its trade, from Instagram, Facebook and TikTok, and recorded by the Supplier. The Service only produces and publishes for those accounts and for the Google Business Profile. The Client may change them by email; the change applies to subsequent content. Essential includes no social media and no video; Standard no edited video.
Short videos (Premium). Edited from the Client's clips or photos (cuts, subtitles, branding, formats adapted to each network), 60 seconds at most. A filming guide is provided in the Client's area. Music is added from the networks' approved libraries when possible; no particular track or music is guaranteed. A video re-edited at the Client's request still counts as one video towards the cap.
Revisions. In Premium, one revision per piece of content is included; any further revision is quoted separately. The Premium monthly call lasts 30 minutes, remotely, with a member of the team.
Included at set-up. In all plans: QR and NFC review cards and the business's Apple Maps listing (Apple Business Connect). In Standard and Premium: optimisation of the chosen Instagram and Facebook profiles. On-site filming is not included in any plan: it is a separate service, quoted on request.
Caps are counted per calendar month, Paris time. Anything not used in the month is not carried over. A request for post ideas does not count towards the cap, nor does the “review of the week” visual the Service may propose from a recent 5-star review; a review video counts as one video. Once the cap is reached, photos uploaded stay in the client area but produce no further content until the following month. The Supplier may then offer the higher plan; nothing changes without the Client's written agreement.
A business subscribed to a plan that is no longer offered keeps its plan and its caps, on the same terms, for as long as its subscription runs.
3a. One-off options
Two options are offered to subscribed Clients, whatever their plan. Each is sold once, at a fixed price, with no subscription. It changes neither the plan, nor its caps, nor the guaranteed times of section 10.
AI visibility, €490 excl. VAT, once. It adds to what every plan already includes (Google listing optimisation with the menu as text, Apple Maps listing, consistency check of the information on the listing, the website, Facebook, Instagram and Apple Maps: sections 3 and 10):
- a neutral, dated test on ChatGPT, Gemini and Perplexity, in private browsing, with 10 customer questions written with the Client; the answers are reported as they are in a short report; the same test, with the same questions, is run again 90 days later, with a second report;
- the consistency check extended to the other sources where the business appears (TripAdvisor, PagesJaunes and the main directories): the Supplier corrects wherever it has access and gives the Client the list of corrections to make elsewhere;
- the request to list the business on Bing Places, the business directory of Microsoft's Bing search engine; the listing goes online after Microsoft's verification, by a code sent by postcard to the business, which the Client passes on to the Supplier; no time for it to go online is guaranteed;
- a text menu and a FAQ ready to publish on the Client's website and, if it has a website, the schema.org structured data (Restaurant type) to add to it.
The first report, the list of corrections and the texts are delivered within 14 days of receiving the 10 questions approved by the Client. The Bing Places listing going online is not included in this time: it depends on Microsoft's verification. Nobody can guarantee what an artificial intelligence answers: the Supplier promises neither that the business will be cited or recommended, nor a rank, nor a result. These tools' answers change from one time to the next; each report gives its date. The Supplier buys no links, creates no comparison site and writes no update date or figure that is not true.
Restaurant website, €990 excl. VAT, once. A one-page website, designed for phones first, with the menu as text, opening hours, the address and a link to the map, a booking or call button, a link to the business's Google reviews, a FAQ and schema.org structured data (Restaurant type). In French, and in English or Dutch if the Client asks. Google reviews are never copied onto the website: only a link leads to them. The website is delivered within 14 days of receiving the Client's information and photos; the Client reviews and approves it before it goes live.
The domain name is registered in the Client's name and paid for by the Client. Hosting is included while the Client subscribes to the Service. When the subscription ends, the Supplier gives the Client the website files, which the Client may use freely and host wherever it wishes; hosting by the Supplier ends with the subscription. Once the website is approved, changes to it (menu, opening hours, photos or texts) are not included: they are quoted separately. The Supplier guarantees neither a number of visits or bookings, nor a position in Google's results or in an artificial intelligence's answers.
Order and payment. An option is ordered by email. Its price is paid in full when ordering, through the payment link sent by the Supplier; the delivery time runs from the payment and the receipt of what the Client must provide, whichever is later. An option ordered during a visit follows the rules of section 7 on contracts concluded off-premises (no payment before the eighth day, withdrawal possible for 14 days). A paid option is delivered even if the subscription ends in the meantime, including the second AI visibility test. A late delivery of an option does not give the right to the free month of section 10.
4. Prices
Prices are stated in euros, excluding VAT, per business (one Google listing), per month or per year according to the row of the table in section 3. They are those shown on the presentation page on the date of acceptance. No discount is applied.
Annual or monthly billing. When subscribing, the Client chooses one of two payment frequencies. Annual billing: the Client pays 12 months of Service in advance, at the annual price in section 3 (€948 excl. VAT for Essential, €2,280 excl. VAT for Standard, €4,680 excl. VAT for Premium), i.e. 12 times the monthly price when billed annually (€79, €190 or €390 excl. VAT); the subscription renews for further 12-month periods until cancelled (section 7). Monthly billing: the Client pays every month the monthly price when billed monthly (€95 excl. VAT for Essential, €228 excl. VAT for Standard, €468 excl. VAT for Premium), with no minimum term. The Client may switch from monthly to annual billing at any time: the annual period starts on the day of the switch and the unused part of the current month is deducted from the first annual invoice. Switching from annual to monthly billing takes effect at the end of the current annual period. The payment frequency can be changed from the Client's payment area or by email; a move to another plan is requested by email and takes effect at the start of the next billing period, unless agreed otherwise in writing.
A one-off set-up fee of 190 euros excluding VAT (in-depth audit, listing optimisation, set-up of the chosen social networks, review cards) is charged once, with the first payment, for the Standard and Premium plans. No set-up fee is charged for the Essential plan. The set-up fee is waived for any subscription taken out up to and including 30 November 2026; the subscription date is the date these terms are accepted.
The Supplier may change its prices. It informs the Client by email at least 30 days in advance; a Client who refuses the new price may cancel at no cost before it takes effect. With annual billing, a new price only applies from the next renewal.
5. VAT
The Supplier is established in the United Kingdom, outside the European Union. The Service is a supply of services to a taxable person established in France: it is deemed to take place in France (article 259, 1° of the French General Tax Code; article 44 of Directive 2006/112/EC) and French VAT is payable by the Client, as the recipient, under the reverse-charge mechanism (article 283, 2 of the French General Tax Code, deriving from article 196 of Directive 2006/112/EC). Invoices are therefore issued excluding VAT and bear the mention “Autoliquidation” (reverse charge).
The Client provides its SIREN number and, if it has one, its VAT identification number. It declares the VAT due on these invoices under its own scheme; the Supplier does not collect it. A Client that falls under the VAT franchise scheme (franchise en base) checks the treatment that applies to it with its adviser.
Where the Client is a taxable person established in Belgium, the Service is deemed to take place in Belgium (article 21, § 2 of the Belgian VAT Code; article 44 of Directive 2006/112/EC) and Belgian VAT is payable by the Client, as the recipient, under the reverse-charge mechanism (article 51, § 2, first subparagraph, 1° of the Belgian VAT Code; article 196 of Directive 2006/112/EC). Invoices are then issued excluding VAT and bear the mention “Reverse charge”. The Client provides its enterprise number (Crossroads Bank for Enterprises) and its VAT number. It declares the VAT due on these invoices under its own scheme; the Supplier does not collect it. A Client that falls under the small business VAT exemption scheme checks the treatment that applies to it with its adviser.
Supplier's VAT number: Not registered for VAT (supplier not established in the European Union; reverse charge applied by the Client).
6. Invoicing and payment
The subscription is invoiced every month, for the current month, with monthly billing, or every year, in advance for 12 months, with annual billing. Invoicing of the first month (in full or pro rata from the opening of the Client's client area): in full; the subscription then runs from date to date, each month or each year depending on the payment frequency chosen. The invoice is sent by email and is payable on receipt. Payment method: bank card, via Stripe. Contract concluded off-premises (section 7): the first invoice, including the onboarding fee, is issued and paid no earlier than the eighth day after the conclusion of the contract.
In the event of late payment, the following are automatically due, without any reminder: late-payment penalties at a rate equal to the European Central Bank's most recent refinancing rate plus 10 percentage points, and the fixed compensation of 40 euros for recovery costs owed by any business. If a reminder remains unpaid for 15 days, the Supplier may suspend the Service until payment; it notifies the Client by email.
7. Term, commitment, termination, withdrawal
Monthly billing. The subscription is monthly with no minimum term. It renews each month until cancelled.
The Client may cancel at any time, at no cost and without giving a reason, by email to info@boostimpact.agency or by replying to an email from the Service. Cancellation takes effect at the end of the current month, already invoiced; no further month is due.
Annual billing. The subscription is taken out for a 12-month period, paid in advance. It renews for a further 12-month period, at the annual price then in force, unless the Client cancels before the end of the current period, in the same way (by email). Cancellation takes effect at the end of the current annual period: the Service is provided until that date. Unused months of an annual period are not refunded, pro rata or otherwise, unless the law requires otherwise. By exception, if the contract ends because of the Supplier (termination with notice, next paragraph), because of force majeure (section 15) or because the Client refuses a change to these terms (section 16), months not yet started are refunded pro rata, to the payment method used, within 30 days. At least 30 days before each renewal, the Supplier reminds the Client by email of the renewal date, the price of the next period and how to cancel.
The Supplier may terminate with 30 days' notice. It may terminate without notice if the Client asks it to produce fake reviews, to filter the customers who are asked for reviews, to set its staff a number of reviews to obtain, to publish unlawful content, or if the Client fails to pay after the suspension provided for in section 6.
Contract concluded off-premises: right of withdrawal. Where the contract is concluded off-premises within the meaning of article L221-1 of the French Consumer Code (in particular during a visit by the Supplier to the Client's business, or just after), the Service does not fall within the scope of the Client's main activity and the Client employs five or fewer staff, the Client benefits from the rules that article L221-3 of that Code extends to such businesses. The Supplier applies them to every contract signed during a visit or just after, unless the Client has told it that it employs more than five staff:
- the Client may withdraw, without giving a reason and at no cost, within 14 days of the conclusion of the contract, by an unambiguous statement sent before that period ends to info@boostimpact.agency, or by using the form in the appendix;
- no payment is requested or collected before the eighth day after the conclusion of the contract (article L221-10);
- if the Client expressly asked for the Service to start before the end of the withdrawal period and then withdraws, it pays for the Service provided until it communicated its withdrawal, in proportion to the agreed price (article L221-25); without such a request, nothing is due;
- the Supplier refunds the sums received, less that amount, no later than 14 days after the withdrawal, to the payment method used.
At the end of the contract, the Supplier stops any scheduled publication not yet sent, sends no further email on the Client's behalf and stops using its access. The Client removes the access it granted (manager of the Google listing, connected networks). What happens to the data follows the data processing agreement.
8. Onboarding, the Client's obligations and the publishing rule
The Client:
- grants the Supplier manager access to its Google listing and connects the chosen accounts to the scheduling tool indicated; no password is requested or accepted;
- is the owner or authorised manager of the Google listing and of the social media accounts it entrusts;
- guarantees that the information it gives when ordering and in its client area is accurate and up to date (opening hours, services, prices, claims such as “home-made” or “organic”): content is based on the information it has approved, and no commercial claim (price, offer, allergens) is published without its consent;
- holds the rights to the photos and videos it uploads, including the consent of identifiable people who appear in them (face or voice), staff and customers alike, to appear in content published on its business's accounts;
- only imports, for a review request, genuine customers of its business who have agreed to receive that email, and can prove it; it confirms this consent at each import;
- displays, if it wishes, the review cards provided by the Supplier;
- remains responsible for the activity of its business and for what it approves.
Publishing rule. Essential: nothing is published without the Client's approval. Standard and Premium: replies to reviews are published for the Client, with nothing for the Client to do: replies to 4- and 5-star reviews within 24 hours, under the rules approved by the Client at set-up; replies to 1- to 3-star reviews by the Supplier's team, which checks the reply written in the tone approved at set-up, publishes it within 24 hours and informs the Client (section 9). In Standard, content is published only after the Client's approval. The Client approves, edits or declines what is submitted to it; without a reply, nothing is published and it receives reminders. Premium: the Client chooses and signs delegation mode at set-up; its approval becomes optional for routine content: content submitted and left without a reply 48 hours after it was sent is deemed approved, then scheduled and published. The Client may decline it before then, and leave delegation mode by email. In all plans, a sensitive review is never published automatically (section 9).
Mandate to publish replies to reviews. By subscribing to the Standard or Premium plan, the Client authorises the Supplier to publish replies to its business's Google reviews in its name, in the tone approved at set-up, under the rules of this section and of section 9. The Client may at any time ask to see a published reply or to have it corrected.
9. Reviews: rules applied
- No fake reviews. The Supplier never writes a review, neither for the Client nor against a competitor, and refuses any request to do so.
- No filtering. Reviews are requested from all customers, with no selection based on their satisfaction; the review page is the same whatever the rating and the link to Google is always shown, including when the customer chooses to write privately. No benefit is granted in exchange for a review. Neither the Supplier nor the Client sets the business's staff a number of reviews to obtain, and no customer is pressed to leave a review on the premises. These rules follow Google's rules for contributions to Google Maps.
- Sensitive review. A review whose content concerns health, an accident, a serious accusation or a threat, whatever its rating, is never handled or published automatically: a person at the Supplier takes it on and the Client is informed, by WhatsApp if it has chosen this channel in its account, otherwise by email; the Client does not need to reply to it. In Essential, that person proposes the reply to the Client and only publishes it with its consent. In Standard and Premium, that person replies and publishes the reply within 24 hours, without the Client's prior approval; the Client is informed and receives the published text.
- Replies to reviews. Essential: each reply is prepared in the Client's tone and proposed to it; the Client approves, edits or declines it, with reminders 4 hours and then 24 hours after the proposal; it is published after the Client's approval. Standard and Premium: replies to 4- and 5-star reviews are published without prior approval, under the rules approved at set-up; 1- to 3-star reviews are handled by the Supplier's team as soon as they arrive: the reply is written in the Client's tone, checked by a person on the team and published, without the Client's prior approval; the Client is informed and receives the published text (by WhatsApp if it has chosen this channel, otherwise by email).
- Each review request email states that it is sent on the Client's behalf and carries an unsubscribe link, honoured for all subsequent requests.
10. Guarantee on response times
The Supplier guarantees three response times:
- the Client's Google Business Profile is optimised within 7 days;
- in Standard and Premium, the first piece of content is proposed to the Client within 72 hours;
- every new Google review is handled within 24 hours of arriving in the Service, which checks for new reviews several times a day: the reply is published, or submitted for the Client's approval.
Times run from the date on which the Client has given the Supplier manager access to its Google listing and its first photos, whichever is later.
What listing optimisation covers. Using manager access, based on the information and photos provided by the Client, and insofar as Google offers it for the business's category, the Supplier:
- checks the address, phone number and website;
- checks that the name, address, phone number and opening hours are the same on the listing and, where they exist, on the website, the Facebook page, the Instagram account and Apple Maps, and reports any differences to the Client; it only changes what the Client has given it access to;
- chooses the most accurate primary category and, where relevant, a few secondary categories that match a real activity;
- writes the business description;
- fills in the opening hours, including special hours already known (bank holidays, closures);
- fills in the attributes (payment methods, accessibility, terrace, parking...);
- enters the menu or the services as text, not only as a photo, with their prices when the Client has provided them;
- adds the booking or ordering links the Client already uses;
- adds the photos provided by the Client;
- prepares a first post;
- prepares replies to reviews from the last 12 months that have not been answered (older reviews are handled afterwards, with no guaranteed time).
The listing's name remains the business's real name: the Supplier adds no keyword, city or slogan to it, in line with Google's guidelines. The post and the review replies are published under the publishing rule in section 8; when they await the Client's approval, the 7-day time applies to their proposal. The time Google takes to review a change does not count towards this time.
Compensation. If one of these times is missed, the month following the missed deadline is free for the Client: that month's subscription is not invoiced or, with annual billing, the paid period is extended by one month. Several deadlines missed in the same month give right to a single free month. This guarantee gives rise to no cash refund.
Exclusions. The guarantee does not apply during a suspension of the Service (section 6), a pause requested by the Client, an outage or a decision of Google or a social network that prevents action, or when the delay is caused by the Client (access withdrawn or not given, information requested and not provided). The Supplier guarantees neither the Client's rating, nor its number of reviews, audience or revenue.
11. Content and ownership
The Client remains the owner of its photos, texts and trade marks. It authorises the Supplier to use them for the term of the contract, solely to provide the Service.
Photos already published by the business. If the Client ticks the box provided in its client area, it authorises the Supplier to reuse the photos and videos that its business has itself published on its Google Business Profile, its website and its Instagram, Facebook and TikTok accounts, to prepare the business's posts. The Client confirms that it holds the rights to them, including the consent of any recognisable people. The Supplier never uses photos published by customers or other people. The Client may withdraw this authorisation at any time by email; the withdrawal applies from then on.
The posts, captions, replies and videos produced for the Client may be used freely by the Client for its business, including after the end of the contract. Some of this content is produced with artificial intelligence tools; the Supplier does not guarantee that it can be the subject of an exclusive right. The templates, software and screens of the Service remain the property of the Supplier.
12. Liability
The Supplier undertakes to use the means necessary for the proper performance of the Service. Apart from the guarantee on response times in section 10, it guarantees no quantified result: rating, number of reviews, audience or revenue.
The Service depends on third-party platforms (Google, Meta, TikTok, the post scheduling tool). The Supplier is not responsible for their decisions (removal of a review, rejection of a post, suspension of an account), their outages, or changes to their rules or interfaces; it informs the Client and adapts the Service within a reasonable time.
The Client is responsible for what it approves and for the information it provides. The Supplier is not responsible for content published in accordance with an approval by the Client, a setting it approved or the delegation mode it chose.
Except in the case of gross negligence or wilful misconduct, the Supplier's total liability under the contract is limited to the amounts paid by the Client during the 12 months preceding the event giving rise to the claim, and does not cover indirect losses (loss of customers, reputation or revenue).
13. Personal data
The data of the Client and its contacts is processed in accordance with the privacy policy. For the data of the Client's own customers (review requests, reviews, private messages), the Supplier acts as a processor, under the data processing agreement accepted together with these terms.
14. Confidentiality
Each party keeps the other's non-public information (figures, access, unpublished content) confidential during the contract and for two years afterwards, unless required by law.
15. Force majeure
Neither party is liable for a failure caused by an event beyond its control that it could not reasonably foresee or avoid. If the impediment lasts more than one month, either party may terminate by email.
16. Changes to these terms
The Supplier may change these terms. It informs the Client of the new version by email at least 30 days before it takes effect; a Client who refuses it may cancel at no cost before that date; with annual billing, it is then refunded pro rata for the months not yet started (section 7). A change required by law applies from the date the law sets. The version in force is dated at the top of this page.
17. Governing law and disputes
These terms are governed by French law. Any dispute relating to their formation, performance or termination falls within the jurisdiction of the competent French courts, after an attempt at amicable settlement lasting one month.
These terms are drafted in French; the French version is authoritative.
Appendix: withdrawal form
Complete and return this form only if the Client wishes to withdraw from a contract concluded off-premises (section 7), before the 14-day period ends.
